These terms apply to every step shown here: browsing the Site, requesting a quote, placing an order, and the delivery and installation that follows.
1. Agreement to terms
These Terms and Conditions govern your use of ufd1.com (the "Site") and any quote, order, or purchase made with Universal Factory Direct ("UFD," "we," "us," or "our"), a cabinet and countertop retailer based in West Palm Beach, FL. By using the Site or requesting a quote through our contact page, you agree to these terms. If you do not agree, please do not use the Site or place an order.
2. Use of the site
This Site is provided for the purpose of learning about our products, including kitchen cabinets, bathroom cabinets and vanities, outdoor kitchen cabinets, closet and dressing room systems, kitchen hoods and floating shelves and countertops, and for requesting a free design consultation or quote. You agree not to misuse the Site, attempt to interfere with its normal operation, or submit false or fraudulent information through our forms.
3. Quotes are estimates, not binding contracts
Any pricing, estimate, or quote provided on this Site, verbally, by email, or during a design consultation is an estimate only and does not constitute a binding offer or contract. Final pricing, specifications, and delivery timelines are confirmed in a written sales order or contract signed by both parties before work begins or product is ordered. We reserve the right to correct pricing errors and to adjust quotes based on final measurements, selected finishes, or scope changes discovered after the initial consultation.
4. Product variation
Cabinets are manufactured from natural wood, wood veneers, laminates, and other materials that can vary in grain, tone, and texture from one piece to the next and from images shown on this Site or in printed catalogs. Because monitors and printed materials render color differently, and because natural materials are inherently variable, the finished product may show minor differences in color and grain pattern compared to samples, photos, or previous orders. This is a normal characteristic of wood cabinetry and does not constitute a defect. We encourage customers to view door samples we bring to you before finalizing a finish selection.
5. Orders, deposits and changes
Orders are placed through a written sales order that outlines products, finishes, quantities, pricing, and payment terms, which may include a deposit at the time of order. Once an order is placed with the manufacturer, changes to finish, style, or dimensions may not be possible without cancellation fees or delays, particularly for semi-custom cabinet lines built to order. Please review your sales order carefully before signing.
6. Delivery and installation
Delivery and installation timelines communicated verbally or in writing are estimates based on manufacturer lead times and our installation schedule, and are subject to change due to factors outside our control, including manufacturing delays, weather (including hurricane season disruptions common in South Florida), and building or HOA access requirements. Customers are responsible for ensuring reasonable access to the installation site and for obtaining any HOA, condo association, or building approval required prior to scheduled delivery. Additional charges may apply for delivery to locations with restricted access, required freight elevators, or scheduling outside normal business hours.
7. Permits
Universal Factory Direct is a cabinet retailer and installer. Obtaining any building permit required for your specific project, where applicable under local code, is the responsibility of the customer or the customer's general contractor unless otherwise specified in a written agreement. We are happy to discuss typical permit requirements for cabinet-related work during your consultation, but local code requirements should be confirmed with your municipality.
8. Warranty
Cabinets sold by Universal Factory Direct are covered by the manufacturer's warranty, provided by Forevermark Cabinetry, Ideal Cabinetry, or ROC Cabinetry depending on the product line purchased. Warranty terms, coverage periods, and exclusions vary by manufacturer and product line and are provided in writing at the time of sale. Warranty claims are processed in coordination with the applicable manufacturer. Universal Factory Direct does not independently extend or modify manufacturer warranty terms unless expressly stated in your written sales agreement. Damage caused by improper use, extreme humidity or heat exposure beyond the product's intended environment, unauthorized modification, or normal wear and tear is generally not covered.
9. Limitation of liability
To the fullest extent permitted by law, Universal Factory Direct is not liable for indirect, incidental, or consequential damages arising from use of this Site or from a purchase, beyond the remedies available under the applicable manufacturer warranty and your written sales agreement.
10. Intellectual property
All content on this Site, including text, photos, and layout, is owned by or licensed to Universal Factory Direct and may not be copied or reused without permission, except for personal, non-commercial reference while evaluating our products.
11. Governing law
These Terms and Conditions are governed by the laws of the State of Florida, without regard to its conflict of law principles. Any dispute arising from these terms or from a purchase shall be subject to the jurisdiction of the courts located in Palm Beach County, Florida.
12. Changes to these terms
We may update these Terms and Conditions from time to time. The "last updated" date at the top of this page reflects the most recent revision. Continued use of the Site after changes are posted constitutes acceptance of the updated terms.
13. Cancellations and returns
Cancellation terms depend on how far a specific order has progressed with the manufacturer at the time of the request. In-stock items that have not yet shipped can generally be cancelled or adjusted with minimal friction. Semi-custom cabinetry built to your specific dimensions and finish selections is manufactured to order, so once production begins, cancellation may not be possible, or may be subject to a restocking or cancellation fee reflecting work already completed by the manufacturer. Specific cancellation and return terms for your order are set out in your written sales order, and our design team will walk through them with you before you sign.
14. Force majeure
Universal Factory Direct is not responsible for delays or failures in performance resulting from causes beyond our reasonable control, including but not limited to hurricanes, tropical storms and other severe weather events common to South Florida, natural disasters, manufacturer supply disruptions, material shortages, labor shortages, government orders, or other events of force majeure. In such cases, affected timelines will be extended by a reasonable period and we will communicate updates as they become available.
15. Severability
If any provision of these Terms and Conditions is found to be invalid or unenforceable by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
16. No waiver
Our failure to enforce any right or provision of these Terms and Conditions in a given instance will not be considered a waiver of that right or provision, and will not prevent us from enforcing it in the future.
17. Assignment
You may not assign or transfer your rights or obligations under these Terms and Conditions, or under any written sales agreement with us, without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of substantially all of our assets.
18. Electronic communications
By providing your email address or phone number through our contact page or a sales order, you consent to receive communications from us electronically, including quotes, order confirmations, scheduling updates, and project follow-up. These communications satisfy any legal requirement that such communications be in writing.
19. Entire agreement
These Terms and Conditions, together with any written sales order or contract you sign with us, constitute the entire agreement between you and Universal Factory Direct regarding your use of the Site and any purchase, and supersede any prior understandings or agreements, whether written or oral, regarding that subject matter. In the event of a conflict between these Terms and a signed sales order, the signed sales order controls for the specific project it covers.
